  • Key Term Negotiation: Advise on critical clauses such as grant of rights, royalty obligations, payment schedules, audit rights, warranties, indemnities, confidentiality, sub-licensing rights, and termination provisions
     

  • Technology & Material Transfer Agreements: Structure and review agreements for the transfer of technology, know-how, and materials, often accompanying patent or software licenses, whether in R&D collaborations between industry, or with academic and research institutes.

  • Breach of Agreement: Advise on rights and remedies in situations involving breach of licence terms by either party
     

  • Dispute Resolution: Represent you in negotiations, mediation, arbitration, or litigation arising from licensing disputes, including royalty disagreements, scope violations, or wrongful termination

  • Conducted due diligence on a potential licensing partner in several jurisdictions, ensuring their rights were valid and enforceable and the commercial viability of the deal
     

  • Structured and drafted a licence of know-how and patent rights relating to dietetic products between the patent owner and several hospitals in Singapore
     

  • Negotiated an exclusive patent out-licence for chemical products between a university and a spin-off, yielding significant annual royalties
     

  • Drafted template software licences for a client, including non-essential and situation-specific clauses, and advised the client on utilising the template in different deals
     

  • Assisted a multi-national consumer products company to secure a licence to use artworks in a global promotional campaign
     

  • Advised a US company on licensing its media assets for use in interactive exhibitions in Singapore
